Welcome to this property listing platform (the "Platform"). This Platform is operated by Pro Forma Services, LLC ("Pro Forma," "we," "us," or "our") on behalf of the property management company or licensed real estate brokerage whose brand appears on this Platform ("Operator"). The Operator has licensed our technology to display rental listings and operate related communications.

By accessing, browsing, or using this Platform — including by submitting an inquiry, scheduling a tour, or joining a waitlist — you agree to be bound by these Legal Terms, and you consent to receive communications and disclosures relating to your request electronically. If you do not agree to these terms, please do not use this Platform.


1. About Pro Forma, the Operator, and This Platform

1.1 Pro Forma's Role

Pro Forma Services, LLC is a software and technology company. We provide the infrastructure, hosting, and software features that power this Platform. We are not a real estate broker, property manager, landlord, housing provider, or real estate agent. We do not own, manage, or control any of the properties displayed on this Platform.

1.2 The Operator's Role

The Operator is the party responsible for the properties and services offered through this Platform. The Operator either owns or manages the properties (in the case of a property management company) or is a licensed real estate brokerage representing the properties (in the case of a brokerage using the Platform).

The Operator sets all rental terms, prices, and availability, makes all decisions regarding rental applications and tenant selection, enters into lease agreements with tenants, is responsible for the accuracy of all listing information, and is the party from whom you are requesting housing-related services.

Any questions about specific properties, availability, lease terms, applications, or rental decisions should be directed to the Operator, not to Pro Forma.

1.3 Identifying and Contacting the Operator

The Operator responsible for this Platform is Defined Management. You may contact the Operator by email at leasing@definedmgmt.com.

The Operator's name is displayed on property listing pages throughout the Platform. For listings displayed on behalf of a licensed real estate brokerage, the brokerage's legal name and license number are also displayed in compliance with applicable state real estate advertising and disclosure requirements.

If you have difficulty reaching the Operator, you may contact Pro Forma at legal@proformahq.com and we will facilitate the connection.


2. Content Ownership and Licensing

2.1 Who Owns What

Platform Technology: Pro Forma owns all rights to the underlying software, code, design, features, and functionality of this Platform.

Listing Content: The Operator or its property owner clients own the listing information, including property descriptions, photographs, videos, floor plans, pricing information, and availability data ("Listing Content"). Pro Forma does not claim ownership of any Listing Content.

User Content: If you submit any content through this Platform (such as inquiry form submissions, tour scheduling requests, or messages you include with an inquiry), you retain ownership of that content, subject to the license described in Section 2.3.

2.2 Content Accuracy

All Listing Content is provided by the Operator or its property owner clients. Pro Forma does not independently verify, and makes no representations or warranties regarding, the accuracy, completeness, reliability, or timeliness of any Listing Content. You should independently verify all information before making any rental decisions.

If you believe any listing displayed on this Platform is inaccurate, outdated, or fraudulent, please report it to the Operator using the contact information in Section 1.3 or to Pro Forma at legal@proformahq.com. We will review reports with the Operator, but we cannot guarantee that any particular report will result in a correction or removal.

2.3 License to User Content

By submitting User Content through this Platform, you grant the Operator a non-exclusive, worldwide, royalty-free license to use the content for purposes of responding to your inquiry and providing rental services to you. You grant Pro Forma a non-exclusive, worldwide, royalty-free license to use, store, process, and transmit that content (a) as necessary to operate the Platform and provide services to the Operator, including as the Operator's service provider, and (b) for Pro Forma's own business purposes as described in the Privacy Policy.

2.4 Pricing and Fees

Prices and fee information displayed on this Platform are provided by the Operator as part of the Listing Content. Pro Forma does not independently verify pricing and makes no representation that displayed prices reflect the total amount you will pay to rent a property.

A rental transaction may involve charges in addition to the advertised monthly rent, including (without limitation) application fees, security deposits, pet deposits and fees, parking fees, utility fees, trash fees, amenity fees, move-in fees, and other charges. Not all such charges may be reflected in the price displayed in a listing.

The Operator is responsible for the accuracy of all pricing and fee information displayed on this Platform and for compliance with all applicable federal, state, and local pricing disclosure laws, including laws requiring all-inclusive or total-price disclosures and laws requiring disclosure of specific fees, charges, or deposits associated with rental housing.

Before signing a lease or paying any amount to the Operator, you should request and review a complete fee schedule from the Operator and confirm the total amount required at move-in, the total monthly cost, and all charges for which you may be responsible during the tenancy. Displayed prices should not be relied upon as an indication of the total cost of renting a property.


3. Your Use of This Platform

3.1 Eligibility

This Platform is intended for use by individuals who are at least 18 years of age (or the age of majority in your jurisdiction, if higher). By using this Platform, you represent that you meet this requirement. Pro Forma does not charge you to browse listings, submit inquiries, schedule tours, or join waitlists through this Platform.

3.2 Acceptable Use

You agree to use this Platform only for lawful purposes and in accordance with these Legal Terms. You may browse listings, submit inquiries to the Operator, schedule property tours, join waitlists for units that are not yet available, and click through to external application and payment sites.

3.3 Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation
  • Infringe any intellectual property or other rights of any party
  • Submit inquiries or schedule tours using false contact information or another person's identity without that person's authorization
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform or its servers
  • Collect or harvest information about other users
  • Copy, scrape, or systematically extract Listing Content for republication, resale, or for training artificial intelligence or machine-learning systems, without Pro Forma's prior written consent
  • Use any automated system to access the Platform in a manner that sends more requests than a human could reasonably produce
  • Use the Platform for any discriminatory purpose in violation of fair housing laws

3.4 Suspension of Access

We may suspend, restrict, or terminate your access to this Platform, with or without notice, if we reasonably believe you have violated these Legal Terms or applicable law, or where reasonably necessary to protect the security or integrity of the Platform, the Operator, or other users. Suspension of Platform access does not affect any rights or obligations you or the Operator may have outside the Platform, including under any pending rental application or lease.


4. Third-Party Links and Services

This Platform may contain links to third-party websites, including rental application portals, payment processing sites, and other external services. These links are provided for your convenience only. Pro Forma does not control, endorse, or assume any responsibility for any third-party websites or services. Your use of any third-party website is governed by that website's own terms and privacy policy.


5. Privacy

Pro Forma's collection, use, and disclosure of personal information through this Platform is governed by the Pro Forma Privacy Policy, available at proformahq.com/legal/privacy-policy.

The Privacy Policy describes the categories of personal information we collect, how we use it, who we share it with, how long we retain it, our data security and breach notification practices, and your rights with respect to personal information, including rights available to California residents and residents of other states with comprehensive privacy laws. The Privacy Policy also describes the circumstances in which Pro Forma processes personal information as a service provider to the Operator and the circumstances in which Pro Forma processes personal information as a business in its own right.

By using this Platform, you acknowledge that you have read and understood the Privacy Policy. In the event of any conflict between these Legal Terms and the Privacy Policy with respect to the processing of personal information, the Privacy Policy controls.


6. SMS and Text Message Communications

6.1 Communications from the Operator

If you provide your phone number through an inquiry form on this Platform, the Operator may contact you at that number by phone call and text message. Depending on the Operator, these communications may include automated messages, AI-generated messages, and prerecorded or artificial voice messages.

The Operator is solely responsible for all such communications, including obtaining any required consent, honoring opt-out requests, disclosing the use of automated or AI-generated messages where required by law, and complying with all applicable communications laws. Pro Forma acts only as a technology provider to the Operator and does not independently initiate communications with you.

If you submit an inquiry, schedule a tour, or join a waitlist, you may also receive transactional messages about that specific request — such as confirmations, reminders, and reschedule notices — at the phone number or email address you provide.

6.2 Consent Is Not a Condition

Your consent to receive calls and texts is not required to rent, apply for, or inquire about any property. You may inquire by email instead if you prefer not to receive automated SMS.

6.3 Your Rights

You have the right under applicable law to opt out of marketing calls and text messages from the Operator at any time. The Operator is responsible for providing a working opt-out mechanism and honoring opt-out requests within the time required by applicable law. You may also contact the Operator at leasing@definedmgmt.com with any questions about communications you receive.


7. Fair Housing

7.1 Equal Housing Opportunity

All properties listed on this Platform are offered in compliance with federal, state, and local fair housing laws. The Operator has represented and warranted to Pro Forma that all properties are available on an equal opportunity basis.

7.2 Federal Fair Housing Act

The Fair Housing Act prohibits discrimination in housing based on race, color, national origin, religion, sex (including gender identity and sexual orientation), familial status (including children under 18, pregnant persons, and persons securing custody of children under 18), and disability.

7.3 State and Local Protections

Many states and localities provide additional fair housing protections beyond federal law. Depending on where a property is located, additional protected classes may include, without limitation, source of income (including housing vouchers and government subsidies), age, marital status, sexual orientation, gender identity or expression, military or veteran status, ancestry, citizenship, immigration status, primary language, genetic information, and other characteristics protected under applicable state or local law.

The Operator is responsible for complying with all applicable fair housing laws in each jurisdiction where their properties are located.

7.4 Source of Income

Where source of income is a protected class under applicable state or local law, properties listed on this Platform are offered without discrimination based on source of income. This includes acceptance of housing vouchers under Section 8 of the Housing Act of 1937, other government rental subsidies, Social Security, disability payments, and other lawful sources of income protected under the law of the jurisdiction where the property is located.

7.5 Pro Forma's Role in Fair Housing

As a technology provider, Pro Forma does not make any housing decisions, determine tenant eligibility, select or reject tenants, set rental criteria, or participate in lease negotiations. Our Platform is designed to display listings without filtering, sorting, or recommending properties based on any protected characteristic. The Operator is solely responsible for ensuring that all Listing Content complies with fair housing laws.

7.6 Reporting Discrimination

If you believe you have experienced housing discrimination, you should first contact the Operator to address the matter. You may also file a complaint with:

  • The U.S. Department of Housing and Urban Development (HUD) at 1-800-669-9777 (TTY 1-800-927-9275) or www.hud.gov/fairhousing
  • Your state fair housing enforcement agency
  • Your local fair housing enforcement agency

If you believe Listing Content on this Platform itself contains language that violates fair housing laws, you may contact Pro Forma at legal@proformahq.com. We will review and work with the Operator to address such content. Pro Forma does not adjudicate fair housing complaints or make housing decisions.


8. Accessibility

8.1 Our Commitment

Pro Forma is committed to making this Platform usable by all visitors, including individuals with disabilities. We use the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as our reference standard when designing and developing the Platform, in furtherance of the accessibility goals reflected in the Americans with Disabilities Act (ADA), the Fair Housing Act, and applicable state accessibility and civil rights laws.

Digital accessibility is an ongoing effort rather than a fixed end state. While we work toward WCAG 2.1 Level AA conformance across the Platform, we do not represent or warrant that every page, feature, or item of content will fully conform to every technical standard at all times, particularly as the Platform, assistive technologies, and the standards themselves continue to evolve.

8.2 Ongoing Efforts

We consider accessibility in the design and development of new Platform features, periodically review the Platform for accessibility barriers, and work to remediate barriers that we discover or that are reported to us. Where video content includes caption data, the Platform's video player supports closed captions and provides an on-screen captions control.

8.3 Reporting Platform Accessibility Barriers

If you encounter an accessibility barrier on this Platform, or if you need information from this Platform in an alternative format, please contact Pro Forma:

Please describe the barrier you encountered and the page or content involved. We aim to respond within five (5) business days, and we will work with you in good faith to provide access to the relevant information through the Platform or through a reasonable alternative method (such as email or telephone assistance) while a barrier is being addressed.

8.4 Disability-Related Accommodations in the Rental Process

Requests for disability-related accommodations or modifications relating to housing itself — including reasonable accommodation and reasonable modification requests under the Fair Housing Act and similar state and local laws (for example, requests for alternative ways to apply for or tour a property, assistance animal accommodations, or accessible unit features) — are the responsibility of the Operator as the housing provider and should be directed to the Operator at leasing@definedmgmt.com.

If you submit a housing-related accommodation request to Pro Forma, we will promptly forward it to the Operator. Pro Forma does not evaluate, grant, or deny housing accommodation requests and has no authority to do so.

8.5 Third-Party and Operator-Provided Content

Some content available through this Platform — including property photographs, videos, video tours, floor plans, and property descriptions — is created and provided by the Operator or other third parties rather than by Pro Forma. We encourage Operators to provide accessible content (including captioned video and complete, descriptive listing information), but Pro Forma cannot guarantee that all Operator-provided or third-party content meets accessibility standards. If you are unable to access specific content, please contact us using the information in Section 8.3 and we will work with you and the Operator to provide the information through a reasonable alternative method.

8.6 Scope of This Section

This section describes Pro Forma's voluntary accessibility program. It is not a representation or warranty of conformance with any particular technical standard, and it does not expand, limit, or waive any rights or obligations that you, Pro Forma, or the Operator may have under applicable law. Nothing in this section limits your right to file a complaint with any government agency.


9. Disclaimers

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS PRO FORMA'S LIABILITY TO YOU.

9.1 Platform Provided "As Is"

THIS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PRO FORMA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Warranty of Accuracy

PRO FORMA DOES NOT WARRANT THAT ANY LISTING CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. ALL LISTING CONTENT IS PROVIDED BY THE OPERATOR OR THEIR PROPERTY OWNER CLIENTS, NOT BY PRO FORMA. PRO FORMA HAS NOT VERIFIED AND DOES NOT ENDORSE ANY LISTING CONTENT. YOU ACKNOWLEDGE THAT ANY RELIANCE ON LISTING CONTENT IS AT YOUR OWN RISK.

9.3 No Warranty of Availability

PRO FORMA DOES NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR THAT ACCESS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE MAY SUSPEND, WITHDRAW, OR RESTRICT THE AVAILABILITY OF ALL OR ANY PART OF THE PLATFORM FOR BUSINESS OR OPERATIONAL REASONS.

9.4 No Housing Provider Warranty

PRO FORMA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY PROPERTY, OPERATOR, LANDLORD, OR HOUSING PROVIDER. PRO FORMA DOES NOT ENDORSE, RECOMMEND, OR GUARANTEE ANY PROPERTY, LANDLORD, OR RENTAL ARRANGEMENT. PRO FORMA IS NOT RESPONSIBLE FOR THE CONDUCT, ACTIONS, OR OMISSIONS OF ANY OPERATOR, LANDLORD, PROPERTY OWNER, OR OTHER THIRD PARTY.

9.5 Photo and Video Content Disclaimer

This Platform may display photographs and video content, including vertical video tours and property showcases. All such media is provided by or created on behalf of the Operator. Media may not reflect current property conditions, may depict model units, staging, or amenities not included with a specific unit, and may have been edited, digitally staged, or enhanced (including through the use of AI-based tools). It should not be relied upon as an accurate representation of any property. You should always visit a property in person before making any rental decision.


10. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS PRO FORMA'S LIABILITY TO YOU.

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRO FORMA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF PRO FORMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRO FORMA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS PLATFORM OR THESE LEGAL TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID PRO FORMA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10.3 Exceptions to Limitations

NOTWITHSTANDING THE FOREGOING, THE LIMITATIONS IN SECTIONS 10.1 AND 10.2 DO NOT APPLY TO: (A) LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW; (B) PRO FORMA'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (C) FRAUDULENT MISREPRESENTATION BY PRO FORMA; OR (D) LIABILITY UNDER STATUTES THAT PROVIDE STATUTORY DAMAGES THAT CANNOT BE WAIVED BY CONTRACT.

10.4 Specific Exclusions

SUBJECT TO SECTION 10.3, PRO FORMA SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM OR RELATED TO:

  • (A) ANY LISTING CONTENT, INCLUDING ANY INACCURATE, MISLEADING, OR INCOMPLETE INFORMATION;
  • (B) ANY RENTAL DECISION, APPLICATION, LEASE AGREEMENT, OR HOUSING ARRANGEMENT;
  • (C) THE CONDUCT, ACTIONS, OR OMISSIONS OF ANY OPERATOR, LANDLORD, PROPERTY OWNER, TENANT, OR OTHER USER;
  • (D) ANY DISCRIMINATION OR FAIR HOUSING VIOLATION BY ANY OPERATOR, LANDLORD, OR OTHER PARTY;
  • (E) ANY PROPERTY CONDITION, DEFECT, OR HABITABILITY ISSUE;
  • (F) ANY THIRD-PARTY WEBSITE OR SERVICE ACCESSED THROUGH THIS PLATFORM; OR
  • (G) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS NOT CAUSED BY PRO FORMA'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

10.5 Essential Purpose

The limitations of liability set forth in this section shall apply even if any limited remedy set forth herein is found to have failed of its essential purpose.

10.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, Pro Forma's liability shall be limited to the greatest extent permitted by applicable law. California residents retain all rights and remedies available under California consumer protection laws that cannot be waived by contract.


11. Indemnification

You agree to indemnify, defend, and hold harmless Pro Forma, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of this Platform in violation of these Legal Terms
  • Your violation of any applicable law or regulation
  • Any content you submit through this Platform that is unlawful, infringing, or otherwise wrongful
  • Your infringement of any rights of any third party

This indemnification obligation does not apply to claims arising from Pro Forma's own gross negligence, willful misconduct, or violation of law.


12. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

12.1 Informal Resolution First

You and Pro Forma agree to try to resolve any dispute, claim, or controversy arising out of or relating to these Legal Terms or your use of the Platform (each, a "Dispute") informally before commencing arbitration or litigation. The party raising a Dispute must first send the other party a written notice that describes the Dispute and the relief sought and includes the notifying party's name and contact information. Notices to Pro Forma must be sent by email to legal@proformahq.com or by mail to Pro Forma Services, LLC, Attn: Legal, 1301 N Broadway, STE 32095, Los Angeles, CA 90012. For sixty (60) days after the notice is received, you and Pro Forma will negotiate in good faith to resolve the Dispute, including by telephone or video conference if either party requests one. Applicable statutes of limitations are tolled during this sixty (60) day period. Completing this informal resolution process is a condition to commencing arbitration or litigation.

12.2 Agreement to Arbitrate

You and Pro Forma agree that any Dispute that is not resolved under Section 12.1 will be resolved by binding arbitration, rather than in court, except as provided in Sections 12.3 and 12.9.

12.3 Exceptions from Arbitration

The following Disputes are not subject to arbitration:

  • Claims that qualify for small claims court in your jurisdiction (either party may bring such claims in small claims court instead of arbitration)
  • Claims under state representative action statutes (such as the California Private Attorneys General Act) that cannot be subject to pre-dispute arbitration under applicable law
  • Claims for injunctive or equitable relief to protect intellectual property or confidential information (either party may seek such relief in court)
  • Any other claims that cannot, as a matter of law, be required to be arbitrated

12.4 Class Action Waiver

YOU AND PRO FORMA AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND SHALL NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. This waiver does not apply to the claims described in Section 12.3.

12.5 Arbitration Procedures

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules in effect when the arbitration is commenced. The arbitration will be conducted in English. The arbitration may be conducted by telephone, online, based on written submissions, or in person in the county where you reside or at another mutually agreed location. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator — and not any court — has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement, except that a court will decide the enforceability of the class action waiver in Section 12.4 and any dispute about Section 12.7 (Coordinated Filings).

12.6 Arbitration Costs

Filing, administration, and arbitrator fees will be allocated as provided in the AAA's Consumer Arbitration Rules and its consumer fee schedule in effect when the arbitration is commenced. Pro Forma will pay all AAA fees and arbitrator compensation that those rules require Pro Forma to pay. Each party will bear its own attorneys' fees and costs, except that the arbitrator may award fees and costs to either party where the AAA rules or applicable law permit it, including upon a finding that a claim or defense was frivolous or asserted for an improper purpose.

12.7 Coordinated Filings

If twenty-five (25) or more arbitration demands raising similar claims against Pro Forma are filed by or with the assistance of the same law firm or coordinated counsel or organizations, the parties agree that the demands will be administered under the AAA's rules and procedures for multiple case filings, and that the informal resolution process in Section 12.1 applies individually to each demand. If this Section 12.7 is found to be unenforceable as to a particular Dispute, it shall be severed as to that Dispute only.

12.8 Opt-Out Right

You may opt out of the arbitration agreement in Section 12.2 and the class action waiver in Section 12.4 by sending notice within thirty (30) days after you first use this Platform. You may send your opt-out notice by either of the following methods:

  • Mail: Pro Forma Services, LLC, Attn: Legal, 1301 N Broadway, STE 32095, Los Angeles, CA 90012

Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and Pro Forma may litigate Disputes in court, but all other provisions of these Legal Terms will remain in effect. Opting out has no effect on any separate arbitration agreement you may enter into with the Operator.

12.9 Severability

If the class action waiver in Section 12.4 is found to be unenforceable in any respect, that portion shall be severed only to the extent unenforceable, and the remainder of this Section 12 shall remain in effect. If the entire arbitration agreement is found to be unenforceable, the Dispute shall proceed in court under Section 14.1.


13. Copyright and DMCA Policy

13.1 Respect for Intellectual Property

Pro Forma respects the intellectual property rights of others and expects users of this Platform to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA) and other applicable law.

13.2 DMCA Notice

If you believe that your copyrighted work has been copied and is accessible on this Platform in a way that constitutes copyright infringement, please provide our designated copyright agent with a written notice containing:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material claimed to be infringing and its location on the Platform
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

Pro Forma maintains an active designated agent registration with the United States Copyright Office as required under 17 U.S.C. § 512(c)(2).

13.4 Counter-Notification

If material you submitted was removed or disabled in response to a DMCA notice and you believe the removal was the result of mistake or misidentification, you may submit a written counter-notification meeting the requirements of 17 U.S.C. § 512(g)(3) to our designated copyright agent at the address above. Knowingly making material misrepresentations in a DMCA notice or counter-notification can result in liability under 17 U.S.C. § 512(f).

13.5 Repeat Infringers

In accordance with the DMCA and other applicable law, we have adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the access of users who are deemed to be repeat infringers.


14. General Terms

14.1 Governing Law and Venue

These Legal Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For Disputes not subject to arbitration, the state and federal courts located in Los Angeles County, California shall have exclusive jurisdiction.

14.2 State Consumer Rights

Nothing in these Legal Terms limits any rights you have under applicable state consumer protection laws, including (without limitation) state privacy laws, consumer protection statutes, unfair competition laws, and fair housing laws. Any provision of these Legal Terms that conflicts with such non-waivable rights is modified to the minimum extent necessary to preserve those rights.

14.3 Changes to These Terms

We may update these Legal Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where practicable, provide additional notice through the Platform. Changes apply prospectively from the date they are posted, and your continued use of the Platform after updated Legal Terms take effect constitutes your acceptance of them. Any change to Section 12 (Dispute Resolution) does not apply to a Dispute for which either party delivered a notice under Section 12.1 before the change took effect; the version of Section 12 in effect when that notice was delivered governs that Dispute.

14.4 Entire Agreement

These Legal Terms, together with the Privacy Policy, constitute the entire agreement between you and Pro Forma regarding your use of this Platform.

14.5 Severability

If any provision of these Legal Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

14.6 Waiver

No waiver of any provision of these Legal Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Pro Forma's failure to assert any right or provision under these Legal Terms shall not constitute a waiver of such right or provision.

14.7 Assignment

You may not assign or transfer these Legal Terms or any rights or obligations hereunder without Pro Forma's prior written consent. Pro Forma may assign these Legal Terms without restriction. Subject to the foregoing, these Legal Terms shall bind and inure to the benefit of the parties and their respective successors and assigns.

14.8 Survival

Any provision of these Legal Terms that by its nature should survive the end of your use of this Platform — including Section 2 (Content Ownership and Licensing), Section 9 (Disclaimers), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 12 (Dispute Resolution), and this Section 14 — survives.

14.9 Third-Party Beneficiaries

These Legal Terms are for the benefit of you and Pro Forma. The Operator is an intended third-party beneficiary with respect to the disclaimers, limitations of liability, dispute resolution provisions, and other provisions of these Legal Terms to the extent they relate to Listing Content, property offerings, communications from the Operator, or the Operator's conduct.
